Welcome to bakoffice ("bakoffice," "we," "our," or "us"). We are in the process of securing U.S.-based 501(c)(3) nonprofit status organization dedicated to creating and maintaining digital tools that help nonprofit organizations operate more effectively through modern software, data integration, and AI-powered insights.

These Terms of Service ("Terms") govern your access to and use of our websites, applications, platforms, and software-as-a-service offerings (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.


1. Our Mission and Purpose

bakoffice exists to strengthen the nonprofit sector by providing cloud-based tools, open data frameworks, and AI-driven systems that help mission-driven organizations measure, manage, and report their impact. We provide the Services to advance this charitable purpose - not for private profit or commercial exploitation.

Use of our Services implies agreement to act in ways that respect our nonprofit mission, community guidelines, and the integrity of our shared data ecosystem.


2. Eligibility and Accounts

You may use the Services only if you: (1) Are at least 18 years old, and (2) Have the authority to agree to these Terms on behalf of yourself or your organization. You must provide accurate information when creating an account and keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.


3. License and Permitted Use

bakoffice grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for lawful purposes consistent with your nonprofit, educational, or community-benefit activities.

You agree not to:

  • Use the Services for commercial resale, advertising, or partisan political purposes;
  • Copy, modify, or distribute the Services or related content without authorization;
  • Attempt to reverse engineer, decompile, or extract source code from any bakoffice software;
  • Interfere with or disrupt the integrity, security, or performance of the Services.

4. AI, Automation, and Open Data Features

Some bakoffice Services use artificial intelligence (AI) or automated analytics to generate insights, summaries, or recommendations based on input data. You acknowledge and agree that:

  • AI outputs are generated algorithmically and may contain inaccuracies.
  • You remain responsible for verifying any critical or legally binding results.
  • AI models and data systems may evolve over time; bakoffice may modify or discontinue features without notice.
  • We may aggregate or anonymize user data to support research and open-data initiatives consistent with our mission.

bakoffice will never sell or license your personal or organizational data for profit.


5. Membership and Fees

Certain bakoffice tools or collaboration environments may be accessible only to registered members or partner organizations. Membership levels, dues, and access rights are determined by bakoffice's Board of Directors and may change from time to time.

We may offer both free and paid subscriptions, grants, or waived-fee programs to ensure equitable access. All payments are considered donations supporting our nonprofit mission and are generally non-refundable.


6. Privacy and Data Stewardship

Your privacy matters deeply to us. Please refer to our Privacy Policy, which explains how we collect, use, and protect data.

Key principles include:

  • Minimal data collection: We collect only what's necessary to operate the Services.
  • Transparency: You retain ownership of your data.
  • Security: We maintain technical and organizational safeguards to protect information.
  • Mission-aligned use: We use data to improve nonprofit operations, not to exploit users commercially.

By using our Services, you consent to the processing of your data as described in the Privacy Policy.


7. Intellectual Property

All intellectual property rights in the Services - including software, interfaces, and visual materials - are owned by or licensed to bakoffice.

You retain ownership of any content or data you upload, but you grant bakoffice a limited license to host, process, and display that content for operating and improving the Services.

You may reference or cite bakoffice materials in publications, reports, or presentations with appropriate attribution.


8. Community Conduct

Users of bakoffice Services are part of a community that values collaboration, inclusivity, and transparency. You agree not to use the Services to:

  • Harass, discriminate against, or defame others;
  • Upload unlawful, harmful, or misleading content;
  • Misrepresent your organization or impersonate others.

Violations may result in suspension or termination of access.


9. Disclaimer of Warranties

The Services are provided "as is" and "as available." bakoffice disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation, data accuracy, or permanent availability.

Because bakoffice is a nonprofit offering mission-driven software, we cannot guarantee the same service levels expected of commercial vendors.


10. Limitation of Liability

To the maximum extent permitted by law, bakoffice and its directors, officers, employees, and volunteers shall not be liable for any indirect, incidental, special, consequential, or punitive damages - including loss of profits, data, or goodwill - arising from your use of or inability to use the Services.

In any case, bakoffice's total liability shall not exceed the greater of:

  • The amount you paid (if any) for the Services in the past twelve months, or
  • One hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify and hold harmless bakoffice, its affiliates, officers, employees, and volunteers from any claims, damages, or expenses (including attorney fees) arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights.


12. Termination

bakoffice may suspend or terminate access to the Services at any time, with or without notice, for conduct inconsistent with these Terms or our mission.

Upon termination, all rights granted to you under these Terms shall immediately cease.

Sections 7–12 will survive termination.


13. Mission Alignment Clause

bakoffice is a mission-driven organization. We reserve the right to deny or discontinue service to users, organizations, or activities that conflict with our charitable, educational, or community objectives, as defined by our governing documents and nonprofit status under U.S. law (501(c)(3)).


14. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date reflects the latest revision. Your continued use of the Services after updates constitutes acceptance of the new Terms.


15. Governing Law

These Terms are governed by and construed under the laws of the State of Missouri, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the courts located in Jackson County, Missouri, unless otherwise required by nonprofit law.
